How do we manage the process?

During Phase I, we will:

  • Research, gather, and analyze corporate, market, financial, and operational information.
  • Prepare an Investment Summary to provide a brief description of the investment opportunity available to potential buyers.
  • Research and prepare a Confidential Information Memorandum (“CIM”) that markets the business, assets, adjusted historical and projected results, processes, human resources, and other detailed and relevant information related to the acquisition/investment opportunity for the potential buyer.
  • Prepare supplementary transaction materials as needed, Confidentiality Agreement (“CA”), and other analytical schedules and supporting analysis.
  • Determine, collect, and analyze detailed confidential materials for due diligence.
  • Develop a management presentation and provide training on presentation and delivery if requested.

During Phase II, we will:

  • Distribute all relevant documents to potential buyers.
  • Manage correspondence to/from buyers.
  • Manage introductory meetings with Shareholders and selected potential buyers.
  • Handle inquiries including required analysis and documentation.
  • Request and negotiate letters of intent (“LOI”) to purchase or invest in your company.
  • Evaluate potential buyers/investors and provide information on the strengths and weaknesses of each letter of intent to the shareholders.
  • Finalize the LOI for execution by the Shareholders.

During Phase III, we will:

  • Assist with the due diligence process, including managing an online data room. The data room will be located in the USA.
  • Help collect and summarize information that may correspond to the buyer’s request.
  • Assist legal counsel in preparing the appropriate transaction agreements.
  • Manage the process so that the Closing is achieved within the prescribed timeframe.
